NETGEAR 'Not For Resale' (NFR) Agreement

1. The Reseller normally purchases NETGEAR products through the Distributor at a discount from the NETGEAR list price for resale to third party end users.
2. NETGEAR has a program under which the Reseller can receive an additional discount on Products purchased through the Distributor provided those Products are solely used for internal use. This includes the building of an internal network for the Reseller and/or the creation of a research lab or demonstration facility.
3. The equipment acquired under this NFR Agreement must not be re-sold to end users for a period of at least 12 months from the date of purchase.
4. The Reseller agrees to the minimum order value of SRP $2000, or is purchasing a nominated New Product of which limited quantities may be available upon initial release.
5. Can purchase only 1 product of each code for each location.
6. The Reseller has requested and been approved by a NETGEAR representative that it be allowed to take part in the Program and is an authorized Powershift Partner.
7. NETGEAR may audit this use at any time and reserves the right to terminate participation in the program at any time. The Reseller agrees to pay NETGEAR/ the Distributor any liabilities costs or expenses incurred as a result of any breaches of this agreement.
8. The Reseller will keep the value of the Additional Internal Use Discount confidential; and
9. Is authorised to make the representations and undertakings in this document and to bind the Reseller;
